COBALT advised agricultural company SIA Palsa on its inclusion into AS Eves Agro

COBALT corporate practice group provided full legal assistance within the inclusion process of SIA Palsa by AS Eves Agro. An inclusion is a special legal process available under Latvian Group of Companies Law that allows the parent entity to absorb it subsidiary, provided that minority shareholders of the subsidiary are adequately remunerated for their shares. However, contrary to typical merger process, the inclusion process allows the subsidiary and the parent entity to continue as separate legal entities.

In this assignment COBALT assumed overall responsibility for coordinating the various steps towards the successful inclusion of SIA Palsa, that includes advising the client safeguarding minority shareholder rights, drafting necessary corporate documents and registration of the inclusion with the Commercial register.

SIA Palsa and AS Eves Agro are primarily engaged in crop production and dairy farming.
