Investors are not all the same – some focus on long-term business development, while others seek quick returns. Strategic and financial investors differ not only in their goals but also in their approach to risks and the legal instruments they use to protect themselves from potential future disputes.

Aurimas Drumstas, Associate at COBALT, will provide a clear and straightforward overview of the differences between shareholder agreements concluded by strategic and financial investors. He will also explain what provisions are most important, and what typical problems can be avoided with well-drafted agreements.

Marius Inta, Partner at COBALT, will speak about shareholder agreements and disputes: how to ensure that shareholder agreements function as intended, and what should they include to avoid ending up in court? He will share practical advice on what you need to know when drafting or reviewing shareholder agreements.

Representatives from the insurance brokerage company Marsh will share expert insights on W&I (Warranty & Indemnity) claims and the trends they observe from the claims they handle.

In the panel discussion “Investors, Businesses, and Communication: Managing Shareholder Disputes”, business representatives, insurance experts, and CEO of a communications agency will discuss one of the “final” ways out of shareholder conflicts – a shareholder buy-out/sell-out. How can conflicts be resolved without going through court proceedings but instead using other legal tools or even public opinion messages? Arvydas Žilinskas will share thoughts on communication channels, content, and formats.

SPEAKERS:

Marius Inta is a Partner and Head of the Commercial Disputes Practice Group at COBALT Lithuania. He has over 17 years’ experience in Dispute Resolution and Conflict Management and focuses his practice on insurance disputes, represents clients in litigation matters involving compensation of damages, competition law and intellectual property law violations.

Arvydas Žilinskas is the Managing Partner at the strategic communications agency Proto vėtra. Arvydas has over 20 years of experience in financial, public sector, and crisis communication. He is a former Head of Corporate Affairs at Vilniaus prekyba, one of the largest Lithuanian-owned business groups.

Aurimas Drumstas is an Associate in the Mergers and Acquisitions Practice Group at COBALT. He has over 5 years of legal experience, with more than 2 years representing clients at all stages of transactions, including legal due diligence, drafting transaction documentation, negotiations, closing procedures, and post-closing matters. Aurimas also has experience advising clients on various commercial, regulatory, and dispute-related issues.

Julius Šeškauskas is Country Chief Operating Officer at Marsh, also responsible for Energy and Power insurance specialty. He has around 10 years of experience working in the field of corporate insurance, focusing mainly on large corporate accounts that have a need for specialty cover: W&I (M&A insurance), Political Risk (War insurance), Crime and Cyber insurance, Large project financing, Insurance Due Diligence. He represents and advises investors and clients in relation to renewables project insurance, including offshore and onshore wind farm projects. Julius also has 15 years of experience handling claims in different insurance areas, lately assisting a few Lithuanian companies with claims totalling more than EUR 20 million.

Marnix Terpstra is Head of Transactional Risk Claims Europe at Marsh. Marsh assists clients with claims under all transactional risk policies, including Warranty & Indemnity, Specific Tax Risk, and Contingent Risk. Prior to joining Marsh, Marnix worked as a claims adjuster and claims manager for several specialist transactional risk insurers. With over 15 years in the insurance industry and more than 10 years of experience within the W&I landscape, Marnix is one of the most seasoned W&I claims experts in Europe.
