Merle Veeroos has over 15 years of experience in representing clients in civil proceedings in various fields related to business activities. She additionally has extensive experience in advising clients in bankruptcy and enforcement proceedings. When representing her clients, Merle has participated in the resolution of several precedent-setting disputes in the Supreme Court. Merle has also worked for the investment company Infortar, the largest shareholder of Tallink Grupp, the leading shipping company operating on the Baltic Sea. Merle’s diverse and long-term work experience renders her a highly valued representative in even the most complex of civil disputes.
The disputes she has recently represented her clients in include, for example, the successful representation of Clearstream Banking S.A in litigation against Baltika, a listed company involved in the clothing trade, invalidation of a resolution of the general meeting of the shareholders of Baltika in relation to the issue of convertible bonds, and precluding the client’s pre-emptive right to subscription. Merle has also represented a U.S. company in a dispute with Olympic Entertainment Group concerning a claim for the release of the selling price of shares deposited in an escrow account. The dispute was handled in the Supreme Court, resulting in the first clarification of the nature of escrow agreements in the judicial practice of the Supreme Court. Additionally, Merle has successfully represented a major Estonian provider of outpatient care in a number of disputes against the biggest Estonian company engaged in the sale of medicinal products with respect to challenging specific financial claims and the compulsory enforcement thereof. Furthermore, Merle has successfully represented the minority shareholders of a local manufacturing company in relation to a claim for compensation resulting from takeover of shares.
Merle has been a member of the Estonian Bar Association since 2002 (membership temporarily suspended).
