COBALT advised AB Amilina on the acquisition of shares in AB Lignoterma

COBALT advised AB Amilina on the acquisition of shares in the Lithuanian alternative energy company UAB Lignoterma from the venture capital fund LitCapital I, upon which AB Amilina assumed sole control of UAB Lignoterma.
Lignoterma is a renewable energy generation company that started its activities in 2013. The company is based in Panevėžys and supplies heat to AB Amilina, one of the largest producers of starch, glucose, gluten and feedstuff in Northern and Eastern Europe. The capacity of the biomass thermo power plant exceeds 32 MW, and the investment amount, including borrowed funds, into the Company totalled more than EUR 15m.
COBALT assisted AB Amilina in all stages of the transaction, including drafting of the transaction documents, assistance with merger clearance and obtaining an approval from the Lithuanian Strategic Companies Commission. The team included Elijus Burgis, Partner and Head of Corporate Transactions Department, Managing Associate Eva Suduiko, and Associate Justinas Šileika.
